1.1 These General Platform Terms ("Terms") govern the relationship between Housing101 Proptech Solutions Limited (RC 8597579), a company incorporated under the laws of the Federal Republic of Nigeria, with its principal place of business at 5 Fameshe Kehinde Street, Ilasan, Lekki, Lagos State ("Housing101", "we", "us", "our"), operator of the eFRINO platform, and you, the user of the platform ("you", "your", "User").
1.2 By signing up for or using the eFRINO platform, you confirm that you have read, understood, and agree to be bound by these Terms, the Privacy Policy, and any role-specific or product-specific terms (including the Per-Listing Agreement for Landlords and Principal Agents) that apply to your use of the platform.
1.3 You confirm that you are at least eighteen (18) years old and have legal capacity to enter into this agreement.

| Payment Plan Fee | The fee payable by a Tenant who is approved for a quarterly or monthly Payment Cadence, as set out in Clause 10. |

3.1 Each User account operates in a single primary role: Tenant, Landlord, or Principal Agent. The role is selected at signup.
3.2 A User who needs to operate in a second role must create a separate account using the same verified identity (BVN or NIN). The Platform may link such accounts internally for fraud prevention and audit purposes.
3.3 Tenants may be sub-classified as Individual Tenants or Group Tenants. This sub-classification is set per tenancy application and does not constitute a role change.
8.1 By signing up as a Tenant, you authorise Housing101’s Default Recovery Infrastructure as a unified mandatory consent. This is the consideration you provide in exchange for access to flexible Payment Cadences and verified properties on the Platform.
8.2 Default Recovery Infrastructure comprises:
8.3 Sustained default is defined as two (2) consecutive missed payments, after three (3) notices delivered through the Platform, after a thirty (30) day cure period, with no active dispute resolution proceeding.
8.4 You receive twenty-four (24) hours’ advance notice before any employer notification is sent.
8.5 You may update your employer of record at any time in your account settings. Changes take effect prospectively.
9.1 The Caution Deposit is a refundable deposit paid by Tenants at lease activation, calibrated at 10% of annual rent for Properties under ₦20 million or 5% for Properties at or above ₦20 million.
9.2 The Caution Deposit is paid into the Trust Fund administered by the Trustee. The Trust Fund is segregated from Housing101’s operating funds and is held on trust for the Tenants whose deposits comprise the Fund, subject to lawful settlement at move-out as set out in this Clause.
9.3 The Trustee invests the Trust Fund in low-risk instruments per the agreed investment policy. Investment returns generated on the Trust Fund, net of the Trustee’s fees and direct investment expenses, are paid to Housing101 as the Trust Fund sponsor and are not added to individual Tenant Caution Deposit balances. Tenants receive back their Caution Deposit balance less any lawful deductions.
9.4 Deductions at move-out
At the end of each tenancy, the Caution Deposit may be applied to settle the following documented obligations before any refund is paid to the Tenant:
The remaining balance after all applicable deductions is refunded to the Tenant through the Platform. If documented obligations exceed the Caution Deposit balance, the Tenant may owe a residual amount to the relevant party recoverable through standard legal process.
9.5 Dispute resolution, three-level architecture
Disputes relating to Caution Deposit deductions or the refund amount follow a dedicated three-level architecture that is separate from the general dispute resolution clause at Clause 17:

9.7 All Caution Deposit settlements are paid from the Tenant’s Caution Deposit held in the Trust Fund and executed by the Trustee per Housing101’s instructions. This funding mechanism applies regardless of which party prevails on disputed items.
10.1 All fees are disclosed on the Platform at the moment of payment. No fee is charged that has not been displayed to the User before they confirm the transaction.

Housing101 funds tenant insurance for the first twelve months of a tenancy, and funds a tree planting contribution through the Nigerian Conservation Foundation on every first-time rental, from its own revenue. Neither is charged to the Tenant.
10.3 Fees payable by Landlords
No listing fee, signup fee or inspection fee is payable at any time. No fee is payable during the first tenancy placed through the Platform.

The Renewal and Protection Fee does not apply during the first tenancy placed through the Platform, nor for the remaining term of a sitting tenancy on a Property onboarded mid-lease, nor where the Landlord elects at renewal to collect rent otherwise than through the Platform. It covers the renewal instrument and its stamping, rent collection and settlement, payment reminders and records, credit bureau reporting, escrow administration, and third-party liability cover funded by Housing101 on Qualifying Buildings.
11.1 The Platform supports three Payment Cadences: annual, quarterly and monthly. A Tenant applies for a cadence; the Landlord approves or declines that application for the Property. No cadence other than annual is a Tenant entitlement, and availability is determined per listing.
11.2 Annual cadence. The Tenant pays twelve (12) months of rent at Activation.
11.3 Monthly cadence. The Tenant pays two (2) months of rent at Activation. The first month covers occupancy in month 1 and the second is held in advance. From month 2 onwards the Tenant makes recurring monthly payments, each funding the following month of occupancy, so that the Tenant remains one month in advance throughout. At month 12 of a twelve-month tenancy no further payment is required if the Tenant is vacating; continued occupancy requires the standard renewal payment.
11.4 Quarterly cadence. The Tenant pays one (1) quarter of rent, being three (3) months, at Activation, covering occupancy in that quarter. Thereafter the Tenant makes recurring quarterly payments, each falling due in advance of the quarter it covers, so that rent is paid before the period of occupancy to which it relates. A twelve-month tenancy comprises four (4) quarterly payments in total.
11.5 The Payment Plan Fee of 3% of annual rent is payable upfront at Activation by any Tenant approved for a quarterly or monthly cadence, alongside the Platform Fee. It is not payable on annual tenancies.
11.6 Default coverage on monthly tenancies. The Tenant pays two (2) months of rent at Activation and Housing101’s default guarantee covers one (1) further month, so the Landlord is protected for three (3) months from lease commencement. Because each recurring payment falls due in advance of the month it covers, the Landlord is at all times one (1) month ahead on rent received, with the one (1) month guarantee behind it, giving two (2) months of forward protection at any point during the tenancy.
11.7 Default coverage on quarterly tenancies. Rent for each quarter is paid in advance of that quarter, so no loss arises to the Landlord during a quarter for which rent has been received. Where the Tenant fails to pay for a following quarter, Housing101’s default guarantee covers one (1) month of rent, which is intended to fund the initiation of recovery of possession.
11.8 The Payment Cadence terms in force at the execution of a tenancy govern that tenancy. Housing101 may adjust cadence terms for future tenancies on notice.
12.1 Tenant insurance. Housing101 arranges and pays for insurance cover for Tenants for the first twelve (12) months of a tenancy, at no cost to the Tenant. Cover comprises the Tenant’s belongings up to the value of the annual rent, and alternative accommodation where the Property becomes uninhabitable, subject in each case to the terms of the underlying policy.
12.2 Tenant insurance is a service provided by Housing101 to the Tenant. It is not a term of the tenancy agreement between the Tenant and the Landlord, and neither party acquires rights against the other in respect of it.
12.3 After the first twelve months, the Tenant may elect to renew cover at 0.25% of annual rent. Renewal is optional and does not occur automatically. Cover lapses at the end of the first twelve months unless the Tenant elects to renew.
12.4 Term life insurance on monthly Tenants is maintained by Housing101 with Housing101 as beneficiary. The policy supports continuity of rental obligations in the event of Tenant death or incapacitation. The premium is funded from Housing101 operating revenue, and not from Caution Deposit or Trust Fund balances.
12.5 Third-party liability insurance on Qualifying Buildings, being Properties of more than one storey rented out through the Platform, is arranged and paid for by Housing101. No premium is payable by the Landlord. Cover commences at the first renewal executed through the Platform, at which point the Caution Deposit is placed into escrow, and continues for so long as Housing101 acts as collection agent for the Property. Cover lapses when Housing101 ceases to act as collection agent.
12.6 Optional add-on insurance products, including fire and special perils insurance, are subject to separate enrolment, pricing and disclosure.
12.7 All insurance referred to in this Clause is underwritten by licensed Nigerian insurers. Housing101 is not an insurer and does not underwrite risk. Cover is subject in every case to the terms, exclusions and limits of the underlying policy, which are available on request.
13.1 Tenancy agreements are generated automatically by the Platform from a standardised template reviewed by a qualified legal practitioner for compliance with applicable Nigerian tenancy law.
13.2 Tenancy agreements are executed digitally on the Platform. Each party’s identity is verified through BVN or NIN before signing, and a party signs by drawing or uploading a signature.
13.3 The executed agreement records, for each party, the signature applied, the verification method, the one-time password verification, the signing timestamp, the originating IP address and device identifier, and a document hash.
13.4 The parties agree that execution in this manner constitutes valid execution of the agreement, and that the Platform record constitutes admissible evidence of that execution, in accordance with the Evidence Act 2011 and the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015.
13.5 The Tenant signs the tenancy agreement before payment is made, so that all terms are known before occupation.
13.6 Housing101 is not acting as legal counsel to either the Landlord or the Tenant in respect of any individual tenancy, and no solicitor-client relationship arises from the use of the Platform template. Parties are advised to seek independent legal advice where required.
13.7 Execution records and audit logs are retained for seven (7) years as set out in the Privacy Policy.

No User is required to pay any fee to view or inspect a Property. Any demand for an inspection or viewing fee should be reported through the Platform.
19.1 Housing101 may update these Terms from time to time. Material changes will be notified to Users through the Platform and by email, with affirmative re-consent required before continued use.
19.2 Non-material changes, being formatting, clarification and minor corrections, take effect on publication of the updated version.
19.3 A change to the fees payable by a Landlord is a material change and requires affirmative re-consent from affected Landlords through the Platform.
20.1 Governing law. These Terms are governed by the laws of the Federal Republic of Nigeria, and where applicable the laws of Lagos State, including the Tenancy Law of Lagos State 2011 and the Arbitration and Conciliation Act as amended.
20.2 Severability. If any provision is held invalid or unenforceable, the remainder continues in full effect.
20.3 No partnership. Nothing in these Terms creates a partnership, joint venture, or employment relationship between Housing101 and any User.
20.4 Entire agreement. These Terms, the Privacy Policy, and any role-specific or product-specific agreements entered into through the Platform constitute the entire agreement between Housing101 and the User.
20.5 Notices. Notices may be delivered through the Platform, by email, or such other written channel as the parties may agree.
